REFUND AND CANCELLATION POLICY

This Refund and Cancellation Policy applies to services provided by Spruceline LLC.

Specific proposals, statements of work, contracts, or order forms may contain different refund or cancellation terms. Where those terms conflict with this policy, the customer-specific written agreement will control.

1. General Policy

Spruceline provides customized professional, development, hosting, artificial intelligence, consulting, and educational services.

Because many of these services involve labor, setup costs, third-party charges, custom development, and resources allocated specifically to a customer, payments are generally nonrefundable once the associated work has been performed or costs have been incurred.

Nothing in this policy limits rights that a customer may have under applicable law.

2. AI Agent Setup Fees

Setup, implementation, onboarding, integration, and configuration fees associated with AI agents are nonrefundable once Spruceline has begun performing the associated work.

If Spruceline has not begun work, a customer may request cancellation and a refund.

Spruceline may deduct nonrecoverable third-party charges that were already incurred at the customer's request.

3. AI Agent Subscriptions

Recurring AI-agent subscriptions may be canceled at any time unless a separate agreement establishes a minimum commitment period.

Unless otherwise stated:

  • Cancellation prevents renewal for the next billing period.

  • Service continues through the end of the already-paid billing period.

  • Previously paid subscription fees are not prorated or refunded for unused time.

  • Usage charges or overages already incurred remain payable.

  • Customers remain responsible for unpaid charges incurred before cancellation.

Spruceline does not charge customers for a new recurring billing period after a properly completed cancellation takes effect.

4. Website Design and Development

Payments for completed website work are nonrefundable.

If a customer cancels a website project before completion, Spruceline may retain payment corresponding to:

  • Work already completed

  • Time already spent

  • Third-party expenses

  • Purchased assets

  • Software licenses

  • Domain-related costs

  • Other nonrecoverable project expenses

If payments received exceed the amount earned or incurred, Spruceline may refund the remaining balance.

Project deposits may be designated as nonrefundable in a proposal or agreement where they reserve development capacity or cover initial work.

5. Website Hosting

Hosting subscriptions may be canceled before the next renewal.

Unless otherwise agreed:

  • Hosting fees already paid are nonrefundable for the current billing period.

  • Hosting remains active through the end of the paid term unless termination is required because of abuse, security, or nonpayment.

  • Customers are responsible for moving or backing up their website before hosting expires.

Domain registration, renewal, transfer, premium domain, and similar third-party charges are generally nonrefundable once submitted to the applicable provider.

6. Website Maintenance

Recurring website maintenance plans may be canceled before the next billing period.

Fees for an already-started billing period are generally nonrefundable.

Work performed outside the maintenance plan remains separately payable where applicable.

7. AI Training and Consulting

Payments for completed training sessions, consulting sessions, workshops, or educational programs are nonrefundable.

For scheduled private sessions, customers should provide at least 24 hours' notice to request rescheduling.

Spruceline may, at its discretion, treat sessions canceled with less than 24 hours' notice or missed without notice as completed.

For larger workshops, events, or custom training programs, separate cancellation terms may be provided in the applicable agreement.

8. Third-Party Costs

Charges paid to third-party providers on behalf of a customer may be nonrefundable, including:

  • Telecommunications usage

  • AI platform usage

  • Domains

  • Hosting infrastructure

  • Premium software

  • APIs

  • Advertising platforms

  • Licenses

  • Purchased assets

Spruceline is not required to refund amounts that cannot reasonably be recovered from the third-party provider.

9. Service Problems

If you believe Spruceline failed to provide a paid service materially as agreed, contact us promptly.

Spruceline may, depending on the circumstances:

  • Correct the issue

  • Reperform the affected work

  • Provide a service credit

  • Issue a partial refund

  • Issue a full refund

The appropriate remedy will depend on the service, work completed, and applicable agreement.

10. Duplicate or Incorrect Charges

If you believe you were charged:

  • Twice for the same transaction

  • An incorrect amount

  • After a cancellation became effective

contact Spruceline as soon as possible.

Verified billing errors will be corrected.

11. How to Cancel

Cancellation requests may be submitted through any cancellation method provided in the customer's account or agreement, or by contacting:

Customers should identify the service or subscription they want canceled.

12. Refund Processing

Approved refunds will generally be returned through the original payment method where reasonably possible.

Processing times may depend on banks, payment processors, or card networks.
